Bylaws
Revised and Adopted June 2022
Article 1 – Name
The name of the organization shall be The Tuesday Club of Stockbridge (the “Club”).
Article 2 – Mission
The mission of the Club is to:
a) foster interest in literature, art, music, history, science, and civic affairs with educational and/or entertaining programs at monthly meetings;
b) promote cordial relationships among members; and
c) support programs and/or organizations that address the welfare of the community.
Article 3 – Membership
The Club is a non-discriminatory women’s organization that welcomes residents of Stockbridge, Massachusetts, and surrounding areas.
Article 4 – Member Meetings
4.1 Regular Meetings: There shall be one meeting per month, excluding January, July, and August, usually on the third Tuesday of the month.
4.2 Annual Meeting: The annual business meeting shall be held in June of each year. Twenty-five percent of the membership shall constitute a quorum for the annual meeting.
Article 5 – Board of Directors
5.1 The board of directors (the “Board”) shall consist of the elected officers and standing committee chairs.
5.2 The Board shall meet on the first Tuesday of each month, excluding January, July, and August. Five directors shall constitute a quorum for a board meeting.
5.3 The immediate past president is welcome, but not obliged, to attend Board meetings.
Article 6 – Board of Directors
The elected officers of the Club shall be the president, vice president, recording secretary, corresponding secretary, and treasurer.
Article 7 – Duties of Officers
7.1 The President shall:
a) Preside at all meetings of the Club and of the Board;
b) Be an ex-officio member of all committees except the nominating committee;
c) Welcome members and introduce their guests at Club meetings;
d) Review the Club’s income and expense statements before the May board meeting and recommend to the Board an amount to be donated to charitable organization(s);
e) Ensure that records of outgoing committee chairs are passed to new chairs at the annual meeting, and designate a Board member to gather records from outgoing chairs who do not attend that meeting;
f) Be authorized to sign checks on behalf of the Club; and
g) Ensure that the Records Retention Policy is adhered to.
h) Appoint a substitute for any board member post that becomes vacant, or if the existing board member is unable to fulfill her responsibilities.
7.2 The Vice President shall:
a) Assume the duties of the president if she is absent;
b) Handle publicity for the Club; and
c) Issue press release regarding the Club’s annual charitable donation.
7.3 The Recording Secretary shall:
a) Keep minutes of each board meetings.
b) Produce a physical copy of all board meeting minutes in June to be retained by the Club pursuant to Article 12 below.
7.4 The Corresponding Secretary shall:
a) Write notes of support, encouragement, sympathy, etc. to members experiencing illness, death in the family, or other of life’s challenges;
b) Keep records of such correspondence and report all communications to Board; and
c) Maintain an adequate supply of Club notepaper.
7.5 The Treasurer shall:
a) Be authorized to sign checks on behalf of the Club;
a) Collect and record all dues, donations, and other monies received by the Club;
b) Make and record deposits, keeping track of each source and amount;
c) Pay and record all expenses approved by the Board, provided that no expense shall be paid or reimbursed without a receipt;
d) Reconcile monthly bank statements;
e) Report the Club’s financial standing at each board meeting;
f) Give a written report of the Club’s financial standing, including all dues, contributions, and other monies received, and expenses paid for that year at the annual business meeting;
g) Notify the membership chair of which members have paid dues;
h) Keep one of the Club mailbox keys and pay the annual mailbox fee; and
i) At the end of her tenure, she is to obtain a new bank card with the following signatures: new treasurer and president.
Article 8 – Elections
8.1 Nominations: At the regular meeting in February, the president shall appoint a nominating chair, who may gather committee members. It shall be their duty to present a list of nominations for officers for the following year at the annual meeting. No one shall be nominated for office whose consent to serve has not been secured prior to the election. Additional nominations may be made from the floor at the annual meeting.
8.2 Tenure: The terms of office for president and vice-president shall be two consecutive years. All other officers shall serve for one year and may be re-elected at the discretion of the members.
Article 9 – Annual Dues
9.1 Annual dues shall be payable by the members at or before the annual meeting each year.
9.2 Dues shall be set by the Board to cover the operating expenses of the Club.
Article 10 – Privacy Policy
Emails, telephone number, and addresses of Club members are listed in the Programs & Members Directory for conducting Club business only and are not to be used for any other purpose without the consent of individual members.
Article 11 – Records Retention Policy
Club records shall be preserved in the Museum & Archives of the Stockbridge library to ensure that records are available from one administration to the next. Records shall include, but are not limited to:
a) The Bylaws and Standing Rules
b) All Minutes of board meetings and special meetings
c) Annual financial statement
d) Two copies of the Programs & Members Directory
Article 12 – Amendment
The bylaws may be amended at any regular meeting of the Club by a two-thirds vote of the members present if a notice of the intended changes has been given to members at the previous meeting and provided to all members. Amended bylaws will be posted on the Club’s website.
